Registration of a foreign company branch in Kenya is done under Sections 974 and 875 of the Companies Act No. 17 of 2015 of Kenya.

To conduct business in Kenya, a foreign company must be registered under the Companies Act. Failure to register may result in a fine of up to Kshs. 5,000,000.

  5.  Notice of the address of the registered office in the company’s home country, or its principal place of business if it has no registered office.
  6. Notice of the address of the registered office in Kenya, where all communications may be sent. This is crucial for ongoing compliance, as the office will serve as the company’s formal point of contact within Kenya.

  1. Document Authentication: All foreign documents must be certified, and in some cases, apostilled or notarized, depending on the country of origin.

  3. Tax Implications: After registration, foreign companies must comply with Kenyan tax laws, including Value-Added Tax (VAT) (16%) , withholding tax, and corporate tax (37.5%) obligations.   4. Annual Reporting: Foreign companies registered in Kenya must submit annual returns and financial statements to the Registrar of Companies. Failure to do so may result in penalties or deregistration.

This certificate is equivalent to the local registration certificate for Kenyan companies and is essential for legal operations.
